Conditions of Sale.

1.—The highest bidder shall be the purchaser and if any dispute shall arise as to any bidding the lot in dispute shall be put up again at the last undisputed bidding or the Auctioneers may determine the dispute. No person shall advance a less sum at each bidding than shall be named by the Auctioneers and no bidding shall be retracted. The sale of each lot will be subject to a reserve price and to a right for the Vendor to bid up to such price by herself or her agent. The Vendor reserves the right to consolidate and re-arrange the lots or withdraw any lot.

2.—Every Purchaser shall immediately after the sale pay to the Auctioneers the Vendor's agents a deposit of £10 per cent. on the amount of the purchase money and sign an agreement in the form subjoined to these conditions to complete his purchase according to these conditions.

3.—The remainder of the purchase money of each lot shall be paid and the purchase thereof shall be completed on or before the twenty-ninth day of September next at the office of Messrs. Wrensted, Hind & Roberts, Ormond House, 63, Queen Victoria Street, London, E.C.4, the Vendor's Solicitors and if from any cause whatever the purchase of any lot shall not be completed on that day, the Purchaser thereof shall pay to the Vendor interest after the rate of £6 per cent. per annum on the remainder of the purchase money from that day until the completion of the purchase. The purchaser of each lot shall be entitled to the possession or the receipt of the rents and profits of the lot purchased by him from the said day of completion all outgoings up to that date being cleared by the Vendor, and any outgoings, rents and profits which shall be then current and not due shall be apportioned between the Vendor and Purchaser and the amount of such apportionment payable) to the Vendor shall be paid with the remainder of the purchase money and if the Vendor and purchaser cannot agree upon the amount of the apportionment so payable, the same shall be fixed by the Auctioneers, whose decision shall be final.

4.—The title shall as to the whole of the property commence with an Indenture of Mortgage dated the 30th day of November 1896 and made between Harry Grant Thorold of the first part Alexander William Thorold Grant Thorold of the second part and Mary Clarke of the third part with the exception of the four stone and slate cottages adjoining the house and being No. 108 on the Ordnance Plan referred to in the Schedule of Lot 1 which shall commence with an Indenture of Conveyance dated the 19th October 1918 and made between the Official Trustee of Charity Lands of the first part the Trustees of Whalley's Charity of the second part and the said Harry Grant Thorold of the third part and in neither case shall any earlier title be required or enquired into notwithstanding the same may be referred to in any of the abstracted documents.

5.—Lot 1 is sold and will be conveyed subject to and with the benefit of the rights and liabilities of the Council of the Administrative County of Northampton or other the owner of certain lands hereditaments and premises known as Elms Farm Cosgrove under a Conveyance dated the 5th May 1920 and made between the said Harry Grant Thorold of the one part and the said Council of the other part to take and receive a supply of water to the same extent and in the same manner as such supply was then taken and received from the Artesian Well situate on. Lot 1 subject to the payment of the clear sum of £20 per annum by the said Council and subject to the covenants with reference to the supply of water contained in the said Conveyance a duplicate of which can be inspected at the offices of the Vendor's Solicitors at any time during office hours previous to the date of sale. Lot 1 is also sold and will be conveyed subject to and with the benefit of the provisions of an Agreement dated the 14th of June 1920 and made between the Vendor of the one part and Charles Arthur Waydelin of the other part relative to the supply of water from the Artesian Well on Lot 1 subject to the payment of the annual sum of £10 for the supply of such water to premises known as The Cottage Cosgrove. A copy of the Agreement may be inspected at the offices of the Vendor's Solicitors at any time during business hours previous to the day of sale. The purchaser of Lot 1 shall be deemed to purchase with full knowledge of the contents of the said Conveyance and Agreement whether he shall inspect the same or not. The Lordship of the Manor or reputed Manor of Cosgrove with its rights liabilities privileges and emoluments is included in the sale of Lot 1 but beyond the quit rent of 5s. which is said to be receivable the Vendor is not aware of any other rights or liabilities but Lot 1 is sold subject to any there may be but the Vendor shall not be required to furnish any evidence thereof nor as to the receipt of the said quit rent.

6.—Lot 2 is sold with a right to receive from the said Artesian Well situate on Lot 1 a supply of water as at present enjoyed so long as the supply is continued and in the Conveyance to the Purchaser he shall covenant with the Vendor or Purchaser of Lot 1 as the case may be to pay £20 per annum for such supply so long as it shall be continued but the Purchaser of Lot 1 or the Vendor, as the case may be, shall not be required to enter into any covenant to continue such supply or to maintain the pipes or fittings used in connection with any house or building on Lot 2 apart from the main pipe line.

Lot 2 is sold subject to the right for the owner for the time being of Lot 1 to enter on to Lot 2 for the purpose of inspecting maintaining repairing and improving the main pipe line used in connection with the supply of water from the Artesian Well situate on Lot 1 to Lot 2 and to Elms Farm.

7.—Lot 3 is sold subject to the right for Lot 1 to be supplied with drinking water from the Pump and Well on the premises and Lot 3 is sold subject to this right as at present enjoyed together with the right for the owner for the time being of Lot 1 to enter on to Lot 3 for the purpose of pumping inspecting maintaining and improving the water supply from the said Pump and Well to Lot 1 and the pipes and works in connection therewith and also the said pump and well, subject to making good or paying reasonable compensation for any damage done in the exercise of this right and the Purchaser of Lot 3 shall have the benefit of a supply of drinking water free of charge from the said Pump and Well after the demands of Lot 1 have been satisfied. A supply of water for domestic purposes is laid on to Lot 3 from the Artesian Well on Lot 1 and the Purchaser of Lot 3 shall in the Conveyance to him enter into a covenant to pay £10 per annum to the Vendor or Purchaser of Lot 1 as the case may be in consideration of this supply as at present enjoyed so long as it shall be continued but the Purchaser of Lot 1 or the Vendor as the case may be shall not be required to enter into any covenant for the continuation of such supply or to maintain the pipes or fittings used in connection with any house or building on Lot 3 apart from the main pipeline.

Lot 3 is sold subject to the right for the owner for the time being of Lot 1 to enter on to Lot 3 for the purpose of inspecting maintaining repairing and improving the main pipe line used in connection with the supply of water from the Artesian Well situate on Lot 1 to Lot 3.

8.—Lot 1 is also sold subject to the right for the Purchaser of Lot 3 to use the drainage system in connection with Lot 1 in the same manner as at present and to use and maintain the drain from Lot 3 until the same joins the main drain from Lot 1 and the Purchaser of Lot 3 shall have the right at all times to enter upon Lot 1 to maintain and keep in repair the drain leading from Lot 3 to the drain situate on Lot 1 until the two drains are joined together subject to the previous consent in writing of the owner for the time being of Lot 1 being obtained (such consent not to be unreasonably withheld) and subject to making good and paying reasonable compensation for any damage done in the exercise of this right and the Purchaser of Lot 3 shall in the Conveyance to him enter into a covenant with the Vendor or the owner of Lot 1 for the time being to contribute one fourth part of the cost of maintaining repairing and improving the joint drain leading from the junction of the two drains from Lot 1 and Lot 3 respectively until the same discharges into the village drain, such joint drains being kept in order by the owner for the time being of Lot 1.

9.—No purchaser shall require any other evidence of the identity of the lot purchased by him with any of the property described in the abstracted documents than such as is afforded by a comparison of the descriptions in those documents and in the particulars.

10.—Every recital or statement contained in any deed or other instrument dated twelve years, or upwards prior to the day of sale is to be accepted as conclusive evidence of the matter or fact recited or stated.

11.—In addition to the rights of way water and other easements specifically referred to in these conditions or particulars each lot is sold and will be conveyed subject to all other quit, chief and other rents and outgoings and to all other rights, of way, lights, water, drainage and other easements or quasi-easements of a continuous nature affecting the same and to all rights of adjacent owners and to any subsisting liability to the repair of roads, streets, ways, passages, sewers, drains, fences, walls or other like matters and subject also to the existing tenancies and all allowances to and claims to compensation and other rights of the tenants. No evidence of the tenancies shall be required other than such as may be in the Vendor's possession and no requisition shall be made 'or objection taken in respect thereof. No representation is made that the rents are the rents properly payable under the Rent Restrictions Act or that any notices have been served under such Acts or if so served are in accordance with the provisions thereof. In the case of any assessment of land tax embracing two or more lots or portions of two or more lots the apportionment shown in these particulars of sale shall be accepted by the purchasers of such lots and such apportionments shall be conclusive and the purchaser shall not require any legal apportionment and no guarantee of accuracy is given or implied. No legal proof shall be required that the premises are tithe free.

12.—Each purchaser shall, on taking possession of his Lot or Lots, take to and pay for by valuation all the hay and straw on the premises at consuming price with the exception of any first cut clover or arable land hay, which is to be taken to at market price. Each Purchaser shall also pay for the cost of all labour bestowed on manure, for the cost of all acts of cultivation performed on fallows, for the cost of all acts of cultivation, artificial manures, farm yard manure and seeds on root and fallow crops, the cost of the young seeds sown and the cost of all acts of cultivation performed thereon, the cost of the temporary grass seeds sown and' the cost of all acts of cultivation bestowed thereon, such valuation to be made by two Valuers, such Valuers to be named, one by the Vendor and one by the Purchasers, who shall respectively agree to the appointment of one Valuer to represent them, within one calendar month of the date of sale, or by an Arbitrator to be named by such Valuers before beginning the Valuation. If the Purchasers fail to agree upon a Valuer or shall neglect or refuse to appoint such Valuer within the time above mentioned the Valuer, appointed by the Vendor shall make the valuation alone and his valuation shall be binding on the purchasers who shall pay the amount of the valuation in addition to the purchase money. In the Conditions of Sale the words " remainder of the purchase money " shall include the amount of the aforesaid valuation.

13.—Each Purchaser shall be deemed to have knowledge of the various lots and of the property purchased by him, but if any dispute arises between the Vendor and any Purchaser or between Purchasers as to the ownership of any tree, boundary or any part of the property, or on any point arising out of the plan and particulars attached thereto, or in the interpretation of the Particulars, or as to the apportionment of any rent or outgoings, or as to the granting or reservation of any easement or right, the matter in dispute shall not annul the Sale, but shall be referred to the arbitration of the Auctioneers, whose decision shall be conclusive and binding on all parties and whose costs shall be paid as they may decide, and all parties shall accept as final the award of the Auctioneers. The Vendor or the Auctioneers shall not be called upon to define the ownership of boundary fences between lots in the sale or adjoining properties.

14.—The quantities of the lands forming or the measurements of each lot are believed and shall be taken to be correctly stated in the Particulars and are taken from the Ordnance Survey dated 1925 and no objection shall be taken or requisition made on the ground that they differ from those contained in some of the muniments of title and no objection shall be made or compensation claimed on account of an error in quantity if any such be found. If any other error, mis-statement or omission in the Particulars or Conditions of Sale shall be discovered before the completion of the purchase a fair compensation shall be made in respect thereof to or by the purchaser as the case may require, the amount( to be settled in the case of difference by the Auctioneers, whose decision shall be final.

15.—All objections and requisitions in respect of the title or the abstract or the particulars or anything appearing therein shall be stated in writing and sent to the Vendor's Solicitors within fourteen days from the delivery of the abstract and an. answer to any objection or requisition is to be replied to in writing within four days after the delivery thereof, and if not so replied to is to be considered; satisfactory, and time is to be deemed in all respects as of the essence of this condition, and all objections and requisitions not sent within that time shall be considered to be waived and for the purpose of any objection or requisition the abstract shall be deemed perfect if it supplies the information suggesting the same although otherwise defective. If any objection or requisition shall be made and insisted on which the Vendor shall be unable or unwilling on the ground of expense or otherwise to remove or comply with, or if any question should arise as to the conveyance the Vendor shall be at liberty (notwithstanding any intermediate negotiations in respect thereof

or attempts to remove or comply with the same) by notice in writing signed by her or her Solicitors and delivered to the purchaser or his or her Solicitor to rescind the sale in which case the purchaser shall receive back the deposit without interest or costs or other compensation and shall return the t Abstract of Title and any other papers in his or her possession belonging to the Vendor, but the Purchaser may within seven days after receiving the notice to rescind, withdraw the objection or requisition or waive the question, in which case the notice to rescind shall be deemed to be withdrawn also.

16.—Upon payment of the residue of the purchase money at the time and place aforesaid, the Vendor shall make and execute to the Purchaser a proper assurance of each lot, such assurance to be prepared by awl at the expense of the purchaser and the engrossment thereof to be left by or her for execution at the office aforesaid of the; Vendor's Solicitors not less than seven days before the said day of , completion.

• 17.—Documents of title in the Vendor's possession relating to several lots sold to different purchasers and to no other property of the Vendor, will (if the whole of the lots to which they relate are sold at this present sale) be delivered to the purchaser whose purchase money is the largest after the sale of all the lots has been completed, but if any lot is not sold the deeds will be retained by the Vendor. The Vendor will as to all documents retained by her give to every purchaser of property to which the same relate the usual statutory acknowledgment and undertaking for safe custody in respect thereof. In the event of any deeds relating to two or more lots of equal value the Vendor shall hand such deeds to the purchaser of the first lot sold.

LASTLY.-If the Purchaser should neglect or fail to comply with any of the above .conditions, his or her deposit money is to be forfeited to the Vendor who may with or without notice resell the lot or lots in respect whereof default occurs, without previously tendering a conveyance to the purchaser or the defaulter at this sale, and any resale may be made by auction or private contract, at such time, subject to such conditions and in such manner generally as the Vendor may think proper; and if thereby the Vendor should incur a loss by reason of diminution in price or expenses incurred, or both, after taking into account the deposit, the defaulter at this sale is to pay to the Vendor the amount of such loss as liquidated damages and on any such resale by auction the lot or lots offered for sale may be bought in, and all expenses consequent on an unsuccessful attempt to resell are to be forthwith paid to the Vendor by the defaulter at this sale.

This lot comprises Ord. Nos. 111 and 113 in Cosgrove Parish. The whole is in hand and Vacant Possession will be given on completion.

The Drinking Water Supply for Lot 1 is from a pump and well on this lot. (See Conditions of Sale).

An Auxiliary Supply of Water for domestic purposes is laid on to this lot from Lot 1, and the owner for the time being of this lot shall pay £10 per annum to the said owner of Lot 1, in consideration of this supply, so long as it shall be continued. (See Conditions of Sale).

General  Information.

1.—SITUATION. The Property is situated near the Town of Stony Stratford, 1 miles from Castlethorpe Station, Wolverton is 4 miles and Bletchley 9 miles, from whence there is a service of express trains to London (52 miles distant) in about 1 hour.

2.—HOW TO VIEW. The Property can be seen at any time on production of an order to view from the Auctioneers, or with these Particulars in hand. A Caretaker is in the House and will show prospective Purchasers over. The Farm is in hand, but the Farm House is in the occupation of Mr. Scott, who will appreciate previous notice being given.

3.—CONVENIENCES. The Ancient Parish Church adjoins the Estate. There is a Post Office in the Village and Stony Stratford only about 11 miles from the Hall, affords a good shopping and marketing centre.

4.—GOLF at Towcester and Northampton.

5.—HUNTING. The Property is in the Grafton Country, only about 3-4 miles from the Kennels. The Whaddon Chase and Oakley Hounds can also be reached within easy distance.

6.—The Estate affords some Shooting and Fishing.

7.—The Social advantages are good, many visiting houses being in the vicinity.

8.—POSSESSION of the major portion of the Estate will be given on completion of the purchase.

Remarks and Stipulations.

1.—TENURE. The whole Property is Freehold.

2.—FIXTURES, ETC. The Engine and Electric Lighting Plant and Fixtures, which are the property of the Vendor and are generally termed Landlord's Fixtures, will be included in the sale. The Tenant's Fixtures and Fittings, Planned Linoleums, Garden Ornaments, Plants in Pots and Outdoor Effects, according to an Inventory to be prepared by the Auctioneers, shall be taken to and paid for by the Purchaser in addition to the purchase-money, at a Valuation to be made in the usual manner by two valuers or their umpire. Any of the above items not included in this Inventory will be removed by the Vendor prior to completion.

3.—TENANT RIGHT. Each Purchaser shall, on taking possession of his lot or lots, take to and pay for by valuation all the hay and straw on the premises at consuming price with the exception of any first-cut clover or arable land hay, which is to be taken to at market price. Each Purchaser shall also pay for the cost of all labour bestowed on manure, for the cost of all acts of cultivation performed on fallows, for the cost of all acts of cultivation, artificial manures, farm yard manure and seeds on root and fallow crops, the cost of the young seeds sown and the cost of all acts of cultivation performed thereon, the cost of the temporary grass seeds sown and the cost of all acts of cultivation bestowed thereon, such valuation to be made by two valuers, such valuers to be named, one by the Vendor and one by the Purchasers, who shall respectively agree to the same valuer within one calendar month of the date of sale, or by an arbitrator to be named by such valuers before beginning the valuation. If any Purchaser shall neglect or refuse to appoint such valuer within the time above-mentioned, the valuer appointed by the Vendor shall make the valuation alone and his valuation shall be binding on the Purchasers, who shall pay the amount of the valuation in addition to the purchase-money, and the words " remainder of the purchase-money in the Conditions of Sale shall include the amount of the aforesaid valuation.

4.—The approximate amount of the Land Tax and other Outgoings (if any) payable by the Vendor and the apportionments of same, have been made and stated in these Particulars for the information of each Purchaser, but no guarantee of accuracy is given or implied and no legal apportionment shall be required.

5.-TIMBER. The whole of the large quantity of valuable timber on each lot will be included in the sale of that lot.

6.—The description of the cultivation of the lands is believed to re-present their present state. The property is sold subject to all existing leases and tenancies affecting the same, whether mentioned in the Schedule or not.

7.—THE PLAN AND SCHEDULES are based upon the Ordnance Survey (Edition 1925) and are for reference only. They have been carefully revised and are believed to be correct, and shall be so accepted by the Vendor and each Purchaser. Any error or mis-statement in the said Plan and Schedules, or in the following Particulars, shall not annul the sale nor entitle either party to compensation.

8.—The right is reserved to the Vendor to cause or permit an Auction Sale or Sales to be held on the property prior to the date of completion.

10.—In case of any inconsistency between these Remarks and Stipulations and the Conditions of Sale, the latter shall prevail.

11.—The Canal, River and Stream running through and forming a boundary to the property are not included in the sale.
